DOVU WALLET TERMS AND CONDITIONS

PLEASE READ THESE TERMS AND CONDITIONS ('Terms') CAREFULLY AS THEY APPLY TO YOUR USE OF THE E-WALLET, IN ITS BETA VERSION, PROVIDED BY DOVU ("Dovu Wallet") AND FORMS PART OF THE AGREEMENT BETWEEN YOU AND US, DOVU LIMITED ('Dovu', 'we' or 'us').

When reviewing these Terms, please pay particular attention to the following:

IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE THE DOVU WALLET.
1 WHAT WE DO
1.1 We try to encourage you to develop healthy long-term travel habits that are good for the environment and society. As part of the reward we offer you DOV tokens which can be redeemed against purchases made with one of our reward partners. You can earn DOV tokens by sharing and changing your travel behavior.
1.2 Dovu allows you to earn, store, transfer and spend mobility related reward tokens. We track your activity, so you can benefit without having to claim. Reward tokens are automatically awarded and credited to your Dovu Wallet. You can spend DOV tokens on the Dovu ecosystem (with one of our reward partners), transfer them between Dovu Wallets or export the DOV tokens on external wallets.
2 WHY DO WE NEED THESE TERMS?
3 YOUR DOVU WALLET
3.1 Your Dovu Wallet is in its BETA and is an electronic money account which enables you to send and receive electronic tokens.
3.2 Dovu Wallets are not bank accounts. Other than where you close your Dovu Wallet, the electronic tokens held on your Dovu Wallet do not expire but it will not earn any interest.
3.3 The electronic DOV tokens in a Dovu Wallet belong to you as the person registered as the Dovu Wallet holder. No person other than the wallet holder has any rights in relation to the tokens held in a Dovu Wallet.
3.4 We do not encourage and recommend that you use your DOVU Wallet as a store of your DOV tokens.
4 CREATING YOUR DOVU WALLET
4.1 In order to earn, receive and/or spend DOV tokens you must first create a Dovu Wallet by registering your details with us.
4.2 You must be 18 years or older to open a Dovu Wallet.
4.3 You agree that all information you provide during the signup process to register with us is accurate and true.
4.4 By completing the registration process you will be given access to a Dovu Wallet. In order for you to earn DOV tokens you need to be using a compatible device which has geolocation functionality.
5 MAINTAINING YOUR DOVU WALLET
5.1 You must ensure that the information recorded on your Dovu Wallet account is always accurate and up to date by login onto the Dovu Wallet and checking your details regularly.
5.2 We will provide you access to your online transaction history via your Dovu Wallet which will detail the DOV tokens earned, received, sent and redeemed together with details of the date of receipt or transmission. You should check your Dovu Wallet balance and transaction history regularly. You should report any irregularities or clarify any questions you have as soon as possible by contacting us.
5.3 If you believe that we have made an error in awarding any DOV tokens or there is a problem or mistake with a transaction connected to your Dovu Wallet, then please contact us by email. You could do so through the Contact Support form in the web app or alternatively please see our Contact Support section below.
6 KEEPING YOUR DOVU WALLET SAFE
6.1 You must keep the device you use to access the Dovu Wallet and the security details you use to log onto the Dovu Wallet safe at all times and never disclose it to anyone or record it in any way that may result in it becoming known to another person.
6.2 Please do not leave the device you use to access the Dovu Wallet unattended. The device must be protected against unauthorised use by a pin, password or other lock method. You may be responsible for unauthorised transfers and purchases made from your Dovu Wallet if you have not kept your device and your security details safe.
6.3 We will never contact you (or ask anyone to do so on our behalf) with a request to disclose your security details in full. If you receive such a request then you must not supply your security details to them.
6.4 If you know or suspect that someone else has your security details you must change your password immediately and contact us immediately. You must do this by contacting us here and we will stop transactions being carried out on your Dovu Wallet. If you do not inform us and your security details are used by someone else you will be responsible for any unauthorised transactions on your Dovu Wallet.
6.5 In the case that an e-mail address registered with your Dovu Wallet is compromised, you should immediately let us know.
7 SENDING DOV TOKENS
7.1 You can transfer DOV tokens out of your Dovu Wallet by submitting an export request to any valid Ethereum address.
7.2 Transfers of DOV tokens from your Dovu Wallet to another ERC20-wallet will be instant and the transaction becomes irreversible.
7.3 If you would like to export your DOV tokens on an external wallet you will need to transfer the DOV tokens to an external ERC-20 wallet. Please see our Frequently Asked Questions section for further information on how to export your DOV tokens.
7.4 If you would like to send DOV tokens to a person who does not hold a Dovu Wallet you will be asked to provide the recipient’s e-mail address. You must take great care to properly type the exact details of who you wish to send the DOV tokens to. We will send a notification e-mail to that email address with instructions on how to claim and receive the DOV tokens. If the recipient does not register for a Dovu Wallet within 7 days, the transaction will be cancelled and the DOV tokens will remain in your Dovu Wallet.
7.5 Transactions made on your Dovu Wallet cannot be reversed or cancelled.
8 RECEIVING DOV TOKENS
8.1 If you earn DOV tokens from changes to your travel behaviors, they will automatically be credited to your Dovu Wallet and we will send a notification to your Dovu Wallet account. You should regularly check incoming tokens with your own records.
8.2 If you receive DOV tokens from another Dovu Wallet this will show up in your transaction history.
8.3 If you purchase DOV tokens from external wallets, these can be moved into your Dovu Wallet by following the instructions in our DOVU Help section.
9 REDEEMING DOV TOKENS (when applicable)
You can spend the DOV tokens on our products and services within the HUB. In case we have different reward partners, they will have their own terms and conditions which you should read before purchasing any products or services from them. Please be aware that DOV tokens may have a different value when redeemed against purchases from a reward partner.
10 CLOSING AND SUSPENSION OF YOUR DOVU WALLET
10.1 You may close your Dovu Wallet at any time but you need to give us 14 days' notice before you do so.
10.2 We may close your Dovu Wallet at any time by giving you two (2) months notice.
10.3 If your Dovu Wallet holds a balance at the time you notify us that you want to close your Dovu Wallet or you receive a notice from us that we want to close your Dovu Wallet, you will need to either:
10.3.1 move your DOV tokens to an external ERC-20 wallet;
10.3.2 redeem your DOV tokens against products or services offered by a reward partners; or
10.3.3 transfer DOV tokens to another Dovu Wallet.
10.4 By closing your Dovu wallet you understand that the relationship between you and Dovu will end.
10.5 Once your Dovu Wallet has been closed, any DOV tokens remaining in the Dovu Wallet will be lost and you must immediately stop using the Dovu Wallet. If you would like access to your transaction history after you have closed your Dovu Wallet please contact us by using our Customer support team here.
10.6 We can suspend or stop your use of the Dovu Wallet at any time if:
10.6.2 You breach or we have reason to believe that you are in breach of any law or regulation that is applicable to your use of the Dovu Wallet.
10.6.3 We have reason to believe that you are in any way involved in any fraudulent activity, money laundering, terrorism financing or other criminal activity.
10.7 We may suspend or otherwise restrict the functionality on your Dovu Wallet at any time if:
10.7.1 We reasonably believe that your Dovu Wallet has been compromised or for other security reasons; or
10.7.2 We reasonably suspect your Dovu Wallet has been used or is being used without your authorisation.
10.7 If we suspend or stop your access to the Dovu Wallet we will try to inform you in advance using the contact details you have provided. We may not be able to do so in every case, e.g. for a legal or security reason or for reasons outside of our control.
11.1 We charge you for transactions made on your Dovu Wallet. If you would like more information on our charges and how these apply to your use of the Dovu Wallet please see our DOVU Help section.
12 RESTRICTIONS ON THE USE OF YOUR WALLET
12.1 You may not use the Dovu Wallet for commercial purposes, for any unlawful purpose or in any way that is inconsistent with these Terms.
12.2 You may not sign up for Dovu Wallet if you reside in China. This list is not exhaustive and we may in our sole discretion decide to discontinue or restrict our services in other countries at any time and without prior notice.
12.3 The right to use the Dovu Wallet is given only to you and you must not give any rights of use or any other rights in respect of the Dovu Wallet to any other person.
12.4 It is your responsibility to ensure that you do not use our services for transactions that may be considered illegal in your country.
12.5 You may only open one Dovu Wallet.
12.6 We do not guarantee that the Dovu Wallet will be compatible with all geolocation tracking devices.
12.7 Where you breach any part of these Terms we may take legal action against you.
13 YOUR DATA
13.1 At Dovu we take our data protection obligations very seriously.
14 OUR RESPONSIBILITIES
14.1 The Dovu Wallet is provided 'as is' and with no express or implied representation, guarantee or agreement of any kind as to its functionality or availability.
14.2 If we incorrectly transfer any DOV tokens from your Dovu Wallet due to an error by us, we shall, as soon as practicable, refund the amounts into your Dovu Wallet.
14.3 Dovu accepts no responsibility for any transfer of DOV tokens to external wallets. If you choose to export your DOV tokens to an ERC-20 wallet you do so at your own risk.
14.4 If we fail to comply with these Terms, we are responsible for the loss or damage you suffer that is a foreseeable result of us breaking this agreement. Except that Dovu's total responsibility to you under or in connection with this agreement is limited to £85 000.
14.5 We do not seek to exclude or limit our liability for death or personal injury caused by negligence, or for fraudulent misrepresentation, or any other responsibilities we have to you which may not be excluded by law.
14.6 If you breach these Terms, you will be responsible for our losses and costs resulting from your breach of the Terms.
14.7 We may transfer our rights and obligations under these Terms to another organisation, but this will not affect your rights or our obligations under these Terms.
14.8 Nothing in these Terms will exclude or limit any of your rights under law as a consumer.
15 DOVU COMMITMENT
15.1 The Dovu Wallet will, when properly used by you in accordance with these Terms, perform substantially in accordance with the description on our Website.
15.2 We may change the way we award DOV tokens or the DOV token earning activities offered. We may also change the reward partners in our ecosystem and the external wallets that can be used to trade DOV tokens and the DOV tokens we offer from time to time.
15.3 If we change the way we award DOV tokens we will do so with reference to evidence that the changes support healthy travel behaviors and will notify you at least one month before we make the change.
16 CHANGES TO THESE TERMS
Occasionally we may make changes to these Terms. When we make significant changes we will notify you in advance by sending you a secure message or email with details of the change. The new terms may be displayed on-screen and you may be required to read and accept them to continue your use of the Dovu Wallet.
17 HOW WE COMMUNICATE
We may contact you by e-mail with information or notices regarding your Dovu Wallet. For this reason you must at all times maintain at least one valid email address in your Dovu Wallet profile. You should regularly check for incoming messages and read messages relating to your Dovu Wallet promptly.

These Terms are governed by English law. Any disputes you and we cannot settle may be resolved by the courts in the country where you live but only in accordance with English law. Any communication we send you will be in English.
